Role Summary and Impact
We are seeking a detail-oriented and experienced
Manager, Commercial Contracts
to join our team in Hong Kong. In this role, you will oversee the review and management of all commercial contractual agreements, ensuring the best interest of the company, the compliance with company policies, and legal standards. Your expertise will help mitigate risks and support our business objectives.
Core Responsibilities
- Lead the review and analysis of contracts, including client contracts, vendor agreements and internal documents for the Hong Kong market.
- Ensure all contracts comply with relevant laws, regulations, and company policies.
- Identify and mitigate legal, regulatory, and financial risks associated with contracts.
- Collaborate with legal and local and regional business teams to negotiate terms and resolve contractual issues.
- Develop and maintain a contract review process to improve workflow and safeguard the company's interest
- Monitor contract deadlines and obligations to ensure timely renewals and compliance.
- Provide guidance and training staff on contract management with the best practices.
- Maintain organized records of all reviewed contracts and related documentation.

Required Skills & Experience
- Degree holder or above, in Business administration, Commerce, Finance, Law or similar discipline.
- Minimum 5-year relevant experience in contract review, management, or legal compliance, preferably in Hong Kong or the Asia-Pacific region.
- Strong understanding of local and relevant laws and regulations.
- Thorough and meticulous review of contracts in line with formulated contract review process
- Independent with confidence to handle internal and external negotiations.
- Good knowledge of processes relating to fee proposals and negotiation and tax issues related to contracts would be an advantage.
- Work independently and collaboratively in a fast-paced environment.
- Ability to perform multitasks under time pressure.
- Well organized and detail-minded to follow through the action points and monitor the progress proactively.
- Ability to perform under pressure and multitasking.
- Good command in both spoken and written in English, Cantonese and Mandarin.

Our Infrastructure and Government Advisory (IGA) team is looking to hire a Senior Manager / Manager with more than 10 years of professional experience in delivering major infrastructure projects, with a focus on commercial advisory, procurement, contract strategy and project governance.
Background to the IGA team
The candidate will be joining the IGA team in supporting clients from initial analysis and project evaluation through to procurement, financial close, construction and operations under three workstreams of services:
- Project, Programme and Portfolio Management (P3M)
- Strategy and Policy
- Transactions, Economics and Finance
We are seeking a candidate to join our IGA team primarily within the P3M workstream, to address some of the most complex challenges in infrastructure and the built-asset environment.
Our P3M workstream comprises three core areas:
- Industry Transformation
: We advise government and public authorities on project delivery, including procurement strategies, delivery model design, commercial and assurance strategies, stakeholder management, and PMO implementation. - Project Delivery Optimisation
: We help clients transform project delivery by enhancing governance, procurement, and project management frameworks, and implementing best practices. - Innovation and Digital

About the role
You will deliver solutions across the lifecycle of public and private infrastructure, including:
- Developing procurement strategies at project or portfolio levels to drive optimal client outcomes.
- Advising on contract strategy design and governance frameworks, including the tailoring of standard form contracts (such as NEC) to address unique project requirements and innovative procurement arrangements.
- Reviewing client processes and frameworks to identify efficiencies and enhance delivery capabilities.
- Engaging with stakeholders to provide strategic advice on organisation design, governance, and delivery models.
- Assessing client requirements for data and connectivity, recommending digital and data-driven solutions.
- Leading market soundings to evaluate private sector capabilities and appetite towards proposed approaches.
- Monitoring the financial and contractual performance of major infrastructure projects, including target cost contracts.
- Conducting contract reviews, identifying lessons learned, and recommending enhancements.
- Creating detailed proposals and business development materials, participating in industry events, and contributing to EY thought leadership.
- Assisting with client engagement tasks, including billing, WIP, and other administration.
- Staying informed on industry trends, contract developments (e.g. NEC), and economic changes to swiftly address emerging issues.
Role requirements
We seek candidates experience in one or more of the following areas:
- Experience in construction as a Project Manager, Engineer, Quantity Surveyor, or Commercial Manager.
- Experience in delivery or advisory roles within industry, government, or a consultancy (e.g., professional services firms, consulting practices, or specialist firms).
- Experience in delivering expert project, programme, or industry transformation initiatives.
We seek candidates with the following knowledge/skills:
- Deep understanding of the technical and management aspects of the infrastructure project delivery lifecycle.
- Strong knowledge of procurement processes and contract administration, with proven experience in of drafting and tailoring NEC contracts to meet project-specific needs, including the drafting of bespoke amendment.
- Familiarity with construction data sets, including cost, schedule, health and safety, environmental quality (HSEQ), contract, risk, and finance.
- Experience with digital tools and approaches in the construction and infrastructure sectors, including knowledge of Building Information Modelling (BIM), Digital Twins, and data management systems.
- Strong report writing, communication, and presentational skills.
- Ability to build effective working relationships with internal stakeholders and clients.
- Excellent problem-solving skills, curiosity, and creative thinking.
- Ability to work effectively and collaboratively in teams.
- Enthusiastic work ethic with a willingness to learn and engage in new areas.
- Relevant professional qualifications (e.g., APM PMQ, RICS, ICE, ChPP) are preferred.
- Business proficiency in both written and spoken English is required; proficiency in Cantonese is preferred.
