Job Overview
We are looking for a talented and motivated Legal Associate to support our high-growth AI company with a strong international presence and blue-chip clients.
The Ideal Candidate Will Have
- 3-5 years of experience in an international law firm or similar role.
- Experience advising startups is valued.
- Excellent commercial contracting skills and strong commercial acumen.
- Fluency in English (required), plus native-level proficiency in at least one Asian language (e.g., Mandarin, Cantonese, Japanese) or Arabic.
- Good knowledge of Hong Kong company law is essential.
- Familiarity with US and Cayman Islands corporate law is desirable.
- The role is based in our Hong Kong office, working closely with the CEO, Board, and CRO.
Key Responsibilities
- Support Bilby’s operations across the Middle East, ASEAN, Hong Kong, and the Americas, focusing on contracts, compliance, governance, and IP protection.
- Draft, review, and negotiate agreements such as licensing, vendor contracts, NDAs, and partnerships.
- Advise on regional regulations and ensure compliance with local laws.
- Manage Bilby’s IP portfolio, including patents, trademarks, and trade secrets.
- Coordinate with external counsel, company secretary, auditors, shareholders, and stakeholders.

Qualifications

- Work closely with internal stakeholders to provide legal guidance and support on various business initiatives to eliminate or minimize legal risks.
- Review, draft and negotiate commercial contracts and legal documentation with vendors, medical network and business partners.
- Advise on legal requirements and regulatory development to ensure that business units are legally compliant and aware of internal policies when formulating business plans.

Role Overview
We are seeking a collaborative and sharp Legal Counsel or Senior Legal Counsel to join our expanding legal team. This is a high-impact role supporting the legal and regulatory functions of our licensed virtual asset exchange operating in Hong Kong, Bermuda, the UAE, and other jurisdictions. The role includes advisory on regulatory interaction, licensing, commercial partnerships, risk disclosures and marketing initiatives, with strong scope for career growth and meaningful work in digital finance.
Key Responsibilities
- Act as a key legal advisor for the Group’s regulated exchange businesses
- Strategically problem solving through regulatory enquiries, hands-on drafting of regulatory responses and manage fire drills. Dismantle complex or novel regulatory scenarios, such as new licensing criteria, product approval cycles, or shifting regulatory obligations, by designing tailored approaches that balance business objectives with full regulatory compliance
- Draft and negotiate a wide range of commercial and exchange-related contracts, including distribution, listing, custodian agreements, OTC, fund related documentation, partnership MOUs, confidentiality agreements, intragroup agreements and service arrangements, core client/user-facing documentation, terms and conditions, legal disclaimers, risk disclosures, etc.
- Continuously monitor the evolving local and international regulatory landscape affecting virtual asset exchanges, proactively identifying how new or proposed regulations may impact the business. Devise coordinated strategies for rapid compliance and risk mitigation, involving consultation with cross-functional teams
- Provide structured legal input in due diligence processes, product risk assessments, and investor communications
- Work cross-functionally with the business team, operations, product, compliance, risk and marketing personnel to assess contractual risks and ensure alignment with regulatory expectations
What We Are Looking For
- Legal qualification in Hong Kong or the United States (HK-qualified preferred)
- 1-3 years’ PQE with corporate or disputes (non contentious) experience with a reputable law firm; additional in-house experience in virtual assets, securities, or fintech sectors is ideal.
- Exceptional legal drafting skills
- Strategic thinker, capable of juggling multiple priorities and managing tight deadlines
- Strong communication and problem-solving skills, with the ability to provide advice under pressure and at pace
- Hands-on experience working with or advising regulated financial institutions, or engaging with regulatory authorities
- Adaptability to a rapidly evolving industry and familiarity with or interest in digital asset regulatory frameworks
- Language proficiency in English, Cantonese, and Mandarin (written and spoken)

- Provide structured legal input in due diligence processes, product risk assessments, and investor communications
- Work cross-functionally with the business team, operations, product, compliance, risk and marketing personnel to assess contractual risks and ensure alignment with regulatory expectations
What We Are Looking For
- Legal qualification in Hong Kong or the United States (HK-qualified preferred)
- 1-3 years’ PQE with corporate or disputes (non contentious) experience with a reputable law firm; additional in-house experience in virtual assets, securities, or fintech sectors is ideal.
- Exceptional legal drafting skills
- Strategic thinker, capable of juggling multiple priorities and managing tight deadlines
- Strong communication and problem-solving skills, with the ability to provide advice under pressure and at pace
- Hands-on experience working with or advising regulated financial institutions, or engaging with regulatory authorities
- Adaptability to a rapidly evolving industry and familiarity with or interest in digital asset regulatory frameworks
- Language proficiency in English, Cantonese, and Mandarin (written and spoken)

Our Legal & Compliance Team is seeking for a corporate lawyer familiar with the HK listing rules compliance, general corporate governance and compliance and corporate transactions, open to lawyers from in-house or private practice. This role represents an excellent opportunity to transition into a reputable company with strong financial backing, and with international/regional projects, and to gain experience in handling legal matters, managing legal risks, and ensuring compliance with applicable laws and regulations across various markets where the group operates.
What You'll Do
- Developing and implementing legal policies and guidelines to protect the group’s interests and ensure compliance with all applicable laws and regulations;
- Drafting documents (e.g. announcements, circulars, board papers and etc.) and providing advice and analysis in relation to the day-to-day operation of the group including but not limited to listing rules compliance, corporate governance and other regulatory/privacy-related matters;
- Conducting legal research and analysis on legal/compliance developments (e.g. listing rules, data protection and etc.) that may impact the group’s operations and recommending appropriate courses of action;
- Providing legal training to business stakeholders on key legal issues and best practices;
- Providing timely and practical legal advice and analysis to the group to assist in commercial projects and legal affairs of the group, including reviewing and drafting contracts, agreements, and other legal documents;
- Assisting other senior lawyers with different tasks assigned from time to time and effective administration of the Legal & Compliance Team.
- 2-4 years’ post-qualification experience gained from reputable law firms or MNCs.
- Qualified in Hong Kong or other common law jurisdictions or the U.S.
- Experience in Hong Kong listing rules compliance, corporate governance and compliance and commercial transactions.
- Experience in dealing with data protection issues and regulatory practice relating to international businesses
- Exceptional attention to detail and excellent presentation and interpersonal skills with ability to work independently or in a team.
- Strong sense of responsibility and responsiveness.
- Energetic with excellent communication skills in both English and Chinese (Cantonese and Mandarin).
- Able to demonstrate strong commercial awareness.
- Prior in-house experience is an advantage.
