Job Overview
We are looking for a talented and motivated Legal Associate to support our high-growth AI company with a strong international presence and blue-chip clients.
The Ideal Candidate Will Have
- 3-5 years of experience in an international law firm or similar role.
- Experience advising startups is valued.
- Excellent commercial contracting skills and strong commercial acumen.
- Fluency in English (required), plus native-level proficiency in at least one Asian language (e.g., Mandarin, Cantonese, Japanese) or Arabic.
- Good knowledge of Hong Kong company law is essential.
- Familiarity with US and Cayman Islands corporate law is desirable.
- The role is based in our Hong Kong office, working closely with the CEO, Board, and CRO.
Key Responsibilities

Responsibilities:
- Work closely with internal stakeholders to provide legal guidance and support on various business initiatives to eliminate or minimize legal risks.
- Review, draft and negotiate commercial contracts and legal documentation with vendors, medical network and business partners.
- Advise on legal requirements and regulatory development to ensure that business units are legally compliant and aware of internal policies when formulating business plans.
- Advise on legal issues and requirements on general matters (e.g. employment, agents/ broker, data privacy, etc.) and ad hoc matters to achieve corporate objectives.
- Develop and maintain legal policies, controls and templates to streamline day-to-day operations and ensure compliance with legal and internal requirements.
Qualifications:
- Qualified lawyer in Hong Kong with 2-5 years of post-qualification experience from leading law firms or in-house. Legal experience in the insurance / financial services industry is advantageous.
- Good analytical and problem-solving skills
- Ability to work independently and as a team
- Excellent communication skills in written and spoken English and Chinese (Cantonese). Fluency in Mandarin is a plus

Job Requirements
Desired Skills and Experience:
• NQ lawyers and paralegals are also welcome to apply; 3 or more years of experience obtained from law firms, investment banks or securities firms will be advantageous but not compulsory. We are pleased to offer trainings to strong candidates with lesser experience;
• A Bachelor’s degree in law or equivalent preferred but graduates from other disciplines will also be considered;
• Litigation experience is a plus;
• Knowledge of ISDA, GMRA and GMSLA is a plus;
• Strong analytical and negotiation skills and the ability to work efficiently;
• Excellent communication skills to deal with different control functions and business teams;
• Ability to work under pressure and meet deadlines;

Job Description
- Review, draft, and negotiate a variety of sales and procurement related contracts (including customer and vendor applications, terms and conditions of sale and purchase, non-disclosure agreements, framework agreements);
- Advise on KYC screening and compliance matters with focus on international import/ export laws and regulations;
- Provide legal advice and support legal activities at Smith APAC;
- Work and collaborate closely with other colleagues from the legal department internationally;
- Handle and make decisions on complex matters with different stakeholders across the organization;
- Provide accurate and timely legal guidance on all matters that affect the company and its affiliates.
- Identify proactive solutions to eliminate or mitigate risks.
- Set and contribute to the development of internal governance policies and manage the impact of external factors.
Requirements
- Degree in law. Qualified in Hong Kong, PRC or Singapore.
- 1-3 years of relevant experience in-house as part of an international organization or in a major law firm.
