Overview
We are looking for an experienced Legal Counsel (6+ years’ PQE) to provide day-to-day legal support to RD Group.
Responsibilities- Serve as a key legal advisor for RD Group’s payment business.
- Provide day-to-day legal support on business and product advisory, advise on market entry and partnerships and supervise licence applications in different jurisdictions.
- Work closely with business teams to identify, assess, and mitigate legal risks associated with group business operations in Hong Kong and other jurisdictions.
- Support strategic cross-border business expansion initiatives from a legal perspective, with a primary focus on APAC, EU and LATAM markets while supporting Hong Kong and additional regions as required.
- Review, draft, and negotiate a wide range of commercial and internal agreements, including but not limited to vendor contracts, client and partnership agreements, product related terms and conditions, intra-company service agreements, ensuring compliance with applicable laws and regulations.
- Collaborate with internal stakeholders on regulatory changes and address inquiries from regulators, ensuring RD Group’s continued compliance with evolving legal framework.
- Conduct legal research to support the Group’s business growth, covering APAC, EU and LATAM region’s legal development.
- Stay abreast of legal and regulatory developments within the financial services/fintech/payment sector in APAC, EU and LATAM region and other relevant jurisdictions.
- Support the General Counsel in ad hoc legal matters such as mergers and acquisitions (M&A), fund-raising, and other tasks required for the effective operation and growth of the organization.
- Qualified lawyer with a minimum of 6-8 years of post-qualification experience at a reputable international law firm or in-house environment, focusing on payment, fintech, VASP or financial services in APAC and EU region.
- Sound knowledge in laws and regulations governing financial, fintech and payment services, virtual assets, stablecoins in different jurisdictions (such as MiCA) and experience in dealing with regulators is an advantage.
- Proven experience with commercial contract structuring, drafting, and negotiation.
- Demonstrated ability to collaborate cross-functionally for problem solving, possessing strong analytical skills to navigate regulatory complexities and provide practical solutions to internal stakeholders under tight deadlines.
- Well-organised and able to manage and prioritise numerous projects simultaneously.

- Design, develop and approve new products documentation and coordinate with country compliance in relation to approval process and roll-out of new products
- Conduct regular and ad hoc education seminars to employees on legal and ethical issues relating to their business units
- Liaise with external legal counsel and oversee project implementation
- Coordinate with Legal or other business units of Head Office as well as other overseas branches for cross-border projects
- Degree holder in laws and be admitted as a solicitor of the HKSAR
- PQE 3 years with exposure to banking industry
- Conversant with HKSAR legal and regulatory requirements on commercial, corporate and private banking procedures
- Strong knowledge in banking operations, products and services
- Strong organizational skills and to work both independently and as a team member of the branch office
- Excellent command of written and spoken English and Chinese (both Mandarin and Cantonese)
