The client is a private equity investment firm headquartered in Hong Kong, backed by strong market-oriented capital. To further expand their investment strategy, they plan to establish a new M&A fund that will concentrate on control buyouts in Greater China and select overseas markets, covering key industries such as advanced manufacturing, consumer goods, technology, and industrial services.
Now they are seeking a highly experienced director-level talent (Director / Executive Director) to help drive the establishment, investment execution, and post-investment management of the new fund.
Responsibilities
Focus on control buyout transactions led by private equity funds, encompassing the entire transaction process, industry deepening, post-investment management, and team building:
Design of Control Buyout Transaction Process
- As a core member of the fund team, lead or participate deeply in the entire transaction process of control buyout (Buyout / LBO) projects, including:
- Market/industry research and identification of investment opportunities
- Financial modeling and valuation analysis
- Independently writing and presenting investment decision materials, including business logic, transaction structure, financial forecasts, and exit strategies
- Management of due diligence and negotiation of transaction terms
- Coordination of transaction closing and post-investment takeover
Platform Investment and Portfolio Management :
- Support the construction of platform acquisition strategies (Platform + Bolt-on), plan industry integration paths, and clarify sources of synergy value:
- Collaborate with management teams to drive value creation plans, including operational optimization, profitability enhancement, organizational restructuring, and financial standardization
- Assist in formulating exit strategies (such as strategic sales, secondary market exits, IPOs, etc.), controlling timing and transaction windows
- Regularly track the operational and financial performance of portfolio companies, reporting to fund management and LPs
Investment Strategy and Industry Research :
- Collaborate with partners to establish fund investment strategies, focusing on manufacturing, consumer, technology, and industrial services:
- Deepen understanding of target industry ecosystems and establish convertible investment databases and BD networks
- Build segmented industry analysis models, tracking mechanisms for leading companies, and transaction pipeline management systems
Requirements
- Bachelor's degree or higher, preferably in finance, accounting, engineering, law, etc.; MBA or relevant postgraduate degree is a plus
- At least 8-12 years of M&A experience in domestic or international private equity funds or investment banking; minority equity investments or non-control M&A may not be suitable for this position
- Experience leading control transactions or leveraged buyout (LBO) projects, with practical experience in structure design and post-investment management
- Familiarity with Cayman/Hong Kong fund structures, investment committee processes, fund compliance, valuation, and operational processes is preferred
- Strategic industry perspective with deep insights into manufacturing, industrial technology, and consumer goods
- Ability to independently build financial models (including LBO models, post-integration financial forecasts, Exit Case modeling)
- Strong commercial logic and strategic judgment, capable of linking transactions with industry landscape analysis
- Proficient in both written and spoken English and Chinese
- Experience in fundraising or LP communication (e.g., participating in PPM writing, Q&A, roadshows) is preferred

Job Description
- Lead and manage a portfolio focused on APAC merger arbitrage, spin-offs, restructurings, and special situations
- Source and evaluate actionable investment opportunities across Japan, Greater China, Southeast Asia, and Australia
- Conduct deep fundamental analysis, model deal outcomes, and assess regulatory and antitrust risks
- Develop and execute event-driven long/short trades with clear catalysts and risk/reward profiles
- Collaborate with legal, compliance, and trading teams to structure trades efficiently
- Monitor deal timelines, market sentiment, and macro factors impacting event outcomes
- Mentor junior analysts and contribute to global strategy development
- Represent the firm in investor meetings and contribute to capital raising efforts when needed
- 10+ years of direct experience in merger arbitrage, event-driven, or special situations investing, preferably within APAC markets
- Strong track record of alpha generation with clear attribution across multiple market cycles
- Deep understanding of corporate finance, M&A structures, regulatory frameworks, and deal dynamics in Asia
- Advanced financial modelling and valuation skills, including scenario analysis and risk-adjusted return forecasting
- Proven ability to manage risk dynamically, with experience in portfolio construction and hedging
- Strong network across investment banks, law firms, and corporate deal makers in the region
- Excellent communication and leadership skills, with experience managing teams and cross-border collaboration
- Bachelor's degree required; MBA, CFA, or legal background preferred

The candidate will be a key member of the Regional FP&A team, primarily responsible for preparing various APAC consolidation reports for month-end closing, budgeting, forecasting, and long-range planning. Additionally, the candidate will assist with expense reporting preparation and management for several functions.
Key Responsibilities
- Assist in submitting consolidation reports for month-end closing, forecasts, annual budgets, and long-range plans for the APAC region.
- Help with the submission of expense forecasts and budgets
- Work with the reporting hub in India and secure continuous excellence in system integrity and report quality
- Support the consolidation APAC financial results, prepare trend & variance analysis, communicate with multiple Business Partners to draw insight and provide recommendations, if necessary
- Potential to rotate into different roles within the FP&A team or other finance areas in the future
- Other ad-hoc work as required
Experience, Skills & Knowledge
- Degree in Accounting, Finance, or a related field with minimum 1 year experience
- Previous retail or fashion industry experience is preferred
- Strong customer centricity, continuous improvement mindset
- Results oriented; flexible and demonstrate a resourceful attitude
- A self-starter and team player; ability to manage multiple activities of different natures in a condensed timeframe
- Fluent in English; excellent verbal and written communication skills, embraces culturally diverse interpersonal relationships
- Experience in reporting & analytical tools, knowledge in AX, Insight & Essbase is a plus
- Advanced technical skills in Microsoft Applications (Excel, Word, PowerPoint, Outlook)
- Candidate with more experience will be considered as Financial Planning & Analysis Analyst
