You’ll work with market-leading lawyers who drive regulatory evolution through precedent-setting work. This role offers high-potential candidates a unique opportunity to develop hands-on legal expertise through direct involvement in active cases and client matters.
As a Corporate Finance Executive / Paralegal, you will work on a wide range of projects. Specific responsibilities include but are not limited to:
- Reviewing corporate and other legal and commercial documents
- Conducting site visits and due diligence interviews with parties in Hong Kong and overseas
- Preparing various documents in Chinese and English, including prospectuses, shareholders’ circulars, announcements, offer documents, due diligence reports, minutes and notices of meetings, etc
- Conducting verification of prospectuses and other documents including offer documents;
- Liaising with issuers and other working parties
- Business travel to PRC and other overseas locations
Requirements:
- Hong Kong, mainland China or overseas law degree holder with 1-2 years of working experience in leading law firms. Fresh graduate will also be considered
- High proficiency in both written and spoken English and Chinese with the ability to read and write simplified and complex Chinese characters; fluency in Putonghua is definitely an advantage
- Ability to work well both individually and in a team setting with strong communication skills and a high level of commercial awareness

Responsibilities
- Execute corporate finance transactions including IPO, M&A, pre-IPO investment, financial advisory and other fundraising exercises
- Perform internal approval procedures, due diligence, market research, financial analysis and regulatory submission preparation
- Prepare, review and follow up transaction issues and documentation independently and report to supervisors from time to time
- Liaise with clients, external professional parties and communicate with regulators as required
- Engage in financial modelling exercise and prepare valuation presentation
- Actively involved in client pitches, market researches and idea generation for the team
- Perform other job duties as assigned
- University Degree holder in finance, accounting, or related discipline
- Minimum 8-10 years' corporate finance-related experience
- Proven track record in executing ECM/ M&A/ Debt transactions, with strong awareness of regulatory compliance requirements
- Possess excellent analytical, interpersonal and presentation skill
- Able to work under pressure and tight deadlines
- Stable and proactive team player
- Excellent spoken Mandarin and English is a must. Fluency in Cantonese is preferred

Key Responsibilities:
- Handle the full spectrum of commercial financial analysis and recommendations to support ongoing strategic management decisions on assigned investment projects.
- Work closely with different internal stakeholders to lead budget and forecasting processes, implement financial planning and analysis, manage the timeline and deliverables.
- Provide full financial analysis reports, cost analysis and information timely and accurately to Senior Management
- Take lead to participate in different company project matters, including due diligence and contract review, M&A evaluation.
- Mapping outgrowth plans, including capital expenditures and investments and driving sustainable growth discipline.
- Evaluate whether the company’s current assets and investments are the best use of the company’s excess working capital by looking at return on investment (ROI) and comparisons with other ways the company might utilize cash flow.
- Prepare internal reports for executive leadership and support their decision-making.
- Liaise with banks, external auditors, corporate secretary, and other regulatory bodies.
- Creating, updating, and maintaining financial models and detailed forecasts of the company’s future operations.
- Support process optimization and system automation to improve overall workflow efficiency.
Qualifications:
- Bachelor's degree holder in Accounting/Finance or other related disciplines
- Professional qualifications of HKICPA, ACCA, CFA or equivalent with Big 4 accounting firm experience are preferred.
- At least 4 years of accounting and financial experience, Manufacturing/ MNC experience is preferred.
- Strong professional knowledge, business sense and problem-solving skills. Able to work in a multitask environment.
- Strategic thinking, strong people management, and leadership skills
- Excellent interpersonal and communication skills, able to build relationships and influence employees at all levels.
- Good command of English speaking and writing

Responsibilities
- Assist in the execution of corporate finance transactions including IPO, M&A, pre-IPO investment, financial advisory and other fundraising exercises
- Perform internal approval procedures, due diligence, market research, financial analysis and regulatory submission preparation
- Prepare, review and follow up transaction issues and documentation under guidance of supervisors
- Liaise with clients, external professional parties and communicate with regulators as required
- Assist in financial modelling exercise and prepare valuation presentation
- Actively engage in client pitches, market research and idea generation for the team
- University Degree holder in finance, accounting, or related discipline
- Minimum three years' corporate finance or investment banking experiences in reputable financial institutions
- Proven track record in executing IPO and capital markets transactions, with strong awareness of regulatory compliance requirements
- Possess excellent analytical, interpersonal and presentation skills
- Fluency in Mandarin, English and Cantonese
