We are looking for a Legal Counsel to join our legal and compliance team in Hong Kong, which is part of the global legal and compliance team. This pivotal role will involve providing comprehensive legal and regulatory support to our licensed entities across the world.

Responsibilities
  • Manage and oversee regulatory license applications and ongoing compliance obligations across jurisdictions including UK, Australia, EU and APAC.
  • Participate in mergers and acquisitions involving licensed entities, including conducting legal due diligence, reviewing and drafting share purchase agreements and other transactional documents, and supporting deal execution and closing.
  • Draft and review legal contracts and documents, including loan agreements, client agreements, licensing agreements, service agreements, other business-related agreements, NDAs and board resolutions.
  • Advise on regulatory and compliance matters across jurisdictions and review compliance policies to ensure legal and regulatory alignment.
  • Liaise with external legal counsel, reviewing draft documents from external legal counsel, and contributing to discussions on complex legal matters.
  • Provide timely updates to stakeholders on the status of regulatory licenses and advise on relevant developments or issues as they arise.
  • Maintain strong working relationships and collaborate with internal departments, local teams, regulators, and external consultants to provide coordinated legal and regulatory support.
Qualifications
  • Newly qualified lawyer or qualified lawyer with 1 to 5 years of PQE in Hong Kong (or equivalent experience in UK, Australia and US).
  • Experience in licensing, regulatory compliance, M&A, capital markets and general corporate matters is highly desirable.
  • Proficiency in English and Chinese.
  • Excellent communication, interpersonal, and analytical skills.
  • Strong ability to work independently and manage multiple tasks simultaneously while engaging with various internal and external stakeholders.
